Is this tool box weatherproof at all though it doesn't have be submersible?

The toolbox is somewhat dust resistant but it will leak if left out in the rain. It does have a small lip over the length of the hinge which may deflect a light rain but the corners may allow leakage. The corners of the lid may also allow slight leakage but sealing all gaps and crevices from the inside with a silicone sealant may improve its resistance to the elements.

It says the height is 3.8". Is that the height of just the box, or including the handle when laying flat?

At the moment, the box is miles away, so I am only making a guess here. I feel 95% certain that 3.8" is the height of the box, exclusive of the handle. In fact, I wouldn't be surprised it refers to the interior height. It's a very nice box as these things go, albeit a bit expensive.
